I filed mine today.  The penalties seem to be pretty steep if you don't. The FinCEN website was running really slow. Reporting: https://fincen.gov/boiFAQ: https://fincen.gov/boi-faqs#B_2Companies required to report are called reporting companies. There are two types of reporting companies: Domestic reporting companies are corporations, limited liability companies, and any other entities created by the filing of a document with a secretary of state or any similar office in the United States. Foreign reporting companies are entities (including corporations and limited liability companies) formed under the law of a foreign country that have registered to do business in the United States by the filing of a document with a secretary of state or any similar office.

Our CPA had us file ours months ago to avoid any undo scrutiny.

My CPA wants to charge me $150. to file this , I think I can do it , basic information, The Government should are ready have
this data in multiple files,

MO If you have all your data, it's easy. I waited for the website to load. It's not hard. This is to reduce fraud and have a person linked to all the shell companies filed.

MO Takes about 5 minutes with the information in hand. I had to provide a couple of driver's license scans. Easy, but same ol' stupid sh*t from the government

Stupid. Big brother putting their fingers into more stuff. I’m trying to decide whether to give up a couple LLC’s or just file for them. They aren’t currently being used, but may at some point

What Chad said is accurate. Chinese and other foreigners are using the law as it is for major fraud and money laundering activities in the country. While it is a pain in the @&$ for legit business owners it is an effort to link real people to all of the bs LLCs and she’ll companies being used for large scale illegal activities.

I always find it interesting...folks so willing to give up rights and privacy in the name of "well, it will help the government fix illegal stuff going on"  It was never more evident when masks and clot shots were being shoved down our throats. Not crazy about this but I guess it's something I need to look into...I'm probably already in a penalty phase...thanks for the head's up Chad. You open a business and the FLOOD of junk mail comes in, it's dumb how much you get and I got to the point where I was throwing everything away and not even looking at it. I'm sure this is something I got notified of and never did. The sad thing in all of this...these junk mailers have no issues tracking down who owns my LLC but the government can't

Thanks for the heads up Chad, just did mine took about 5 minutes. Just needed EIN number and a picture of mine and wife's DL.

1st i have heard of this... i'm just a part time knifemaker, but have a tax number and pay quarterly sales taxes to the comptroller...honestly don't remember if i have an LLC or i just did a DBA (Doing business as)...wonder if i need to do this?

If you have 20 full time employees and $5 million sales or gross receipts and are based in USA then you don't have to file

My accountant keeps telling me this is a 2025 file requirement B. 2. When do I need to report my company’s beneficial ownership information to FinCEN?
A reporting company created or registered to do business before January 1, 2024, will have until January 1, 2025 to file its initial beneficial ownership information report.
A reporting company created or registered on or after January 1, 2024, and before January 1, 2025, will have 90 calendar days after receiving notice of the company’s creation or registration to file its initial BOI report. This 90-calendar day deadline runs from the time the company receives actual notice that its creation or registration is effective, or after a secretary of state or similar office first provides public notice of its creation or registration, whichever is earlier.
Reporting companies created or registered on or after January 1, 2025, will have 30 calendar days from actual or public notice that the company’s creation or registration is effective to file their initial BOI reports with FinCEN.

Folks, there's a recent Texas court case about these - the requirement for BOI filers is on hold until it gets kicked up through SCOTUS I'll get the case cite for y'all tomorrow *edit* nevermind, just saw this posted above
