My little oil company has a verified offer on the table for 3 times current share price with a cutoff date of Feb 7. Never been thru one but have to admit it is interesting,

Something similar. There was a desired buyer, with a somewhat under-the-table deal. A Fortune 500 decided they wanted us more. It was ugly for employees, great for anyone with stock. The posturing and bidding war was done in the open.
Final sale price was slightly over double the original deal. Took 10 months to work out and be finalized. We were all basically wondering every day if we would get through each day with a job. Then integration with the new owners took another 6 months, before the final announcement of who had a job and who was out on the street.
In the long run, it worked out well for me, but it was almost two years is stressful hell

Yup. It ain't fun. If you are an officer I hope you have a merger clause in your contract. Director or below, you may have a job but you have to compete with the purchasing company's employees and they generally get the job's, knowledge or not and you get demoted, maybe.
Try to find out what happens to your pension and medical benefits (if you have any).
If they offer severance, better look at very hard, you may not get another offer. Just the boot. Some departments are duplicates and are cut hard. Accounting, legal, HR, engineering, etc.
If it's truly hostile, it can get ugly fast for a lot of good people.

Mine sucked. Got bought out by a Fortune 500. Was passed over for partner several times prior to the buyout due to some senior partners worried about perceptions of nepotism. I was bitter about it.
When we got bought out, the restructuring resulted in a 2/3 reduction in income for me. The junior partners ended up getting screwed due to capital gains and some other IRS headaches.
I tried to hang on for five months after the buyout but moving on was the best decision for my career, finances, and mental health.

Not in a work scenario but, in 1994 my ex became very hostile and tookover half my sh€£.

Yep. Not fun. After the buyout I was tagged as a key employee which meant I was given a job offer at 90% of my previous pay if I wanted to stay on. I took the pay cut and gutted it out because the job market sucked at the time. Hopefully you’ll be in a much better situation.

Even if they keep the business running they will throw the word synergy out there. Sounds good until you realize that’s when they start firing whole departments that are redundant. I invested in it a while back and am just along for the ride now.

Today we are trading at 125 a share, our management has taken over the rest of the parent companies and even subsidies. I’m sure my example is rare though

One important rule: If the new owners call a meeting and somewhere in their opening dialogue they say "Nobody is going anywhere," revise and update your resume when you go home that very evening!

Not sure if it truly qualified as hostile but I got a call from my boss while on vacation that we were just bought out by a larger floor covering company out of Northern GA. Our margins and the fact that we were the largest ceramic company in the world were attractive. The term synergy was flying around. We were not even sure they would keep the Dallas office. I know the original plan was to move us to GA. At least the ones that wanted to. They came in and got rid of accounts payable pretty quickly and took over management of our domestic transportation. They had the "expertise" because they had the 8th largest private fleet. They ended up operating the Dallas office as a division. Other then accounts payable they swallowed up our audit department. Their original intent was to take over credit, AR, customer service and more but quickly figured out that our business model was different than theirs. At another company we were taken private by a venture capital company. That was in the days of fax machines and the only one was a few steps from my office. My boss was checking it frequently and we knew every thing that was going on. That one ended up being a good thing until they sold us. They told us up front that the Dallas office would close and they would only keep 10 out of 110. The 10 had to go to Detroit. They gave all the managers one year packages and one year of health if they stayed through the transition. They asked me to go to Detroit and then changed their mind when I told them what I wanted.

I've been on both sides of 5 of them over the years and they all suck. The advice I always give my staff during the process is watch who wins the CxO battle for your specific area (In my case the CIO battle). If your exec wins, and you aren't the guy on the team your boss is keeping around as a sacrificial lamb in the case of layoff's, your odds of making it through the merger go up dramatically. If your exec loses the battle, or if you are a marginal employee, you better update your resume.

Am I understanding correctly that the company is releasing 10s of millions of shares @ .055 to artificially drive the price down making it harder for the take-over company to buy 50+% of shares @ us .49. I assume they’re betting the company is not willing to spend twice the price to buy them. Unfortunately nobody knows who is driving the hostile takeover, or it’s not public news anyway since they’re using a 3rd party to handle the deal.
